These general terms and conditions of use (hereinafter referred to as the " GTCU ") are entered into between Altaroc Partners SA located at 61 rue Belles Feuilles, 75016, Paris (hereinafter referred to as " Altaroc Partners " or " we ") and wealth management advisors, private bank employees and sophisticated investors (hereinafter referred to together as " Users ") browsing the website www.altaroc.pe operated by Altaroc Partners (hereinafter referred to as " the Site ").
Altaroc Partners and the Users will hereinafter be referred to together as " the Parties ".
The cancellation of a clause of the GTU will not affect the validity of the GTU as a whole.
1.Purpose of the GCU
The purpose of the GCU is to define the conditions of use of the Site by Users and to govern the relationship between Altaroc Partners and Users.
Consequently, any User wishing to use the Site, visit its various pages and benefit from its content (as defined below) must first read and accept the GCU in their entirety. We recommend that Users cease browsing our Site if they do not agree with them.
In any event, by accessing and browsing the Site or any part thereof, the User fully and unreservedly accepts these GCU.
The fact that one of the Parties does not avail itself at a given time of one of the provisions of these GCU may not be interpreted as a waiver of its right to do so at a later date.
The invalidity of any provision of these GCU shall not affect the validity of the GCU as a whole.
2.site Login/Navigation
To use the Site, the User connects to the following URL address: https://www.altaroc.pe
Access to the Site and its various pages is not subject to the creation of a user account.
3 Site presentation
The purpose of the Site is to present to Users :
- Private Equity, its performance, risks and ALTAROC's strategic approach.
- The vintage investment funds offered by Altaroc Partners, showing the amounts managed and the companies supported.
- The teams in charge of the site, our sponsor and our management company are also presented to you.
A section of the site is dedicated to answering questions frequently asked by users and (future) investors, particularly about cash flow and taxation.
A dedicated page on the site provides news on the financial operations of companies included in our vintage funds. In addition, a monthly newsletter informs subscribing users by e-mail of news relating to Private Equity.
In any event, the Site does not offer Users the possibility of subscribing directly online to the services presented on the Site.
4.site content
4.a- The Website
The Site may contain confidential information and data protected by intellectual property rights. Unless otherwise stated, the intellectual property rights to the web pages and to any data of any kind contained on the Site and to each of the elements making up the Site (images, illustrations, sounds, texts, graphic elements, etc.), including software, databases and newsletters (hereinafter the " Content "), are the exclusive property ofAltaroc Partners, which grants no license or right other than that of consulting the Site.
Reproduction of all or part of the Content is authorized solely for the purposes of information for personal and private use, any reproduction and any use of copies made for other purposes in any manner whatsoever and in any form whatsoever being expressly prohibited.
It is also forbidden to copy, modify, create a derivative work of, assemble, decompile (except as provided by law), sell, assign, sublicense or transfer in any way whatsoever any right pertaining to the Content. It is also forbidden to modify all or part of the Content, in particular with a view to accessing the Site by any means other than the interface provided to Users for this purpose.
The use of all or part of the Content without written authorization fromAltaroc Partners on any medium for the purpose of promoting products or services, in particular for commercial purposes, is prohibited and may result in criminal or civil proceedings.
4.b- Brands
Altaroc Partners is the sole owner of the ALTAROC brand, its logos and the altaroc.pe domain name.
Users acknowledge the exclusive rights ofAltaroc Partners to the ALTAROC brand and shall refrain from using it in any way whatsoever and, more generally, from infringing the intellectual property rights of which Altaroc Partners is the sole owner.
All other trademarks or logos appearing on the Site are the property ofAltaroc Partners, or of a company in the group to which Altaroc Partners belongs, or of its service providers, partners or suppliers. Any use whatsoever of these trademarks and/or logos and/or any other Content is subject to the express authorization ofAltaroc Partners or the holder of the intellectual property rights concerned.
4.c- Hypertext links
Altaroc Partners reserves the right to request the removal of any link to the Site which has not been, or is no longer, authorized and which is detrimental to Partners.
4.d- Collection forms
The User may make requests, particularly for information, toAltaroc Partners by completing the various collection forms provided on the Site.
By filling in the contact forms, the User guarantees that the information provided is accurate. This information will be collected in compliance with article 7 below.
The User's request will then be forwarded to theAltaroc Partners sales department, which will endeavour to process it as quickly as possible.
5.site management
Altaroc Partners implements the technical solutions at its disposal to ensure access to the Site 24 hours a day, 7 days a week. However, due to the nature of the Internet, this cannot be guaranteed.
In addition, for the proper management of the Site, Altaroc Partners may at any time:
- Suspend, interrupt or limit access to all or part of the Site, reserve access to the Site, or to certain parts of the Site, to a specific category of Users,
- Delete any information that could disrupt its operation or contravene national or international laws,
- Suspend access to the Site in order to carry out updates.
6 Responsibility for use of the site
6.a- Site access and operation
All Users are personally responsible for setting up the computer and communication resources required to access the Site and for acquiring the knowledge necessary to use the Internet and access the Site.
The User is responsible for the connection and equipment costs associated with Internet access and use of the Site, in accordance with the terms and conditions set by his or her access providers and/or electronic communications operators.
The User is aware of the risks of hijacking and contamination by any viruses circulating on the Internet. Altaroc Partners cannot be held responsible for any such malfunctions, nor for any interruption in Internet communications.
It is reminded that fraudulently accessing or remaining in a computer system, hindering or distorting the operation of such a system, or fraudulently introducing or modifying data in a computer system constitute offences punishable by criminal penalties.
6.b- Limitation of liability
Altaroc Partners makes every effort to ensure that the information published on the Site is accurate and up-to-date, and reserves the right to modify the content or presentation of the Site at any time and without prior notice. Altaroc Partners cannot, however, guarantee its completeness or the absence of modification by a third party (intrusion, virus).
Altaroc Partners cannot be held responsible for any decision taken on the basis of information contained on the Site, nor for any use that may be made of such information by third parties, and in particular accepts no liability arising from the transmission of confidential information over the Internet.
Altaroc Partners shall not be held liable for elements beyond its control and for any damage that may be suffered by the technical environment of any User and in particular, their computers, software, network equipment (modems, telephones, etc.) and any equipment used to access or use the information and/or Content.
The Site may also contain hypertext links to other websites. Altaroc Partners has no control over the accuracy or content of the information contained therein. Altaroc Partners is not obliged to exercise any control over the quality, lawfulness, veracity or accuracy of the information published on the pages to which these hypertext links refer. Consequently, Altaroc Partners cannot be held liable for any damage resulting from the use of, access to, or inability to use the information or content of other websites.
7. personal data protection
In the course of operating the Site, Altaroc Partners is required to collect personal data from Users, in accordance with current regulations applicable to personal data and the confidentiality policy it has drawn up (hereinafter referred to as the " Confidentiality Policy ").
TheAltaroc Partners Privacy Policy complements the GTC, of which it is an integral part.
In this respect, Altaroc Partners invites Users to consult its Privacy Policy.
8.cookies
The Site uses different categories of cookies.
The use of cookies is described in the cookie policy (hereinafter " Cookie Policy "). Altaroc Partners invites Users to consult its Cookie Policy.
9 Applicable Law/Language
The GCU are governed by French law.
The language of the present contract and of the relations between the Parties is French.
10. settlement of disputes
In the event of claims, disputes or litigation relating to the contractual relations under the GTU, the Parties will endeavor to resolve any disputes that may arise between them amicably. To this end, the User undertakes to send his complaint to Altaroc Partners at the address and phone number indicated in article 11 of the GCU.
In the absence of an amicable settlement, any disputes relating to the GCU will be :
- With regard to professional Users: the exclusive jurisdiction of the Commercial Court of the registered office ofAltaroc Partners, to which jurisdiction is expressly assigned in advance, even in the event of a third-party claim or multiple defendants.
- With regard to other Users: brought before the competent courts.

12 Updating the GTCU
These GCU cancel and replace the conditions previously applicable.
Altaroc Partners reserves the right to adapt, modify or update the GCU at any time. In any event, the GTUs applicable are those in force on the day of navigation on the Application.
